1. Introduction

Welcome to Flatiron Social (the "Social"). The Social encompasses events,

members, and services within Flatiron Social. These Terms of Service ("Terms")

govern your access to and use of our membership community, events, and

services (collectively, the "Services"). By joining the Social or participating in any

of our events, you agree to comply with these Terms. If you do not agree to these

Terms or breach any of the Terms, your membership may be terminated at the

sole discretion of Felina Management Services LLC ("Felina").

2. Membership Eligibility

To join the Social, you must be 21 years of age or older, as some events may

involve alcohol consumption. You must also have the legal capacity to enter into

a binding agreement. By joining, you confirm that all information provided during

registration is complete and accurate.

3. Membership Fees and Payment

3.1Membership Fees

Membership to the Social requires the payment of fees, which will be

specified at the time of registration. Membership fees are non-refundable

unless otherwise specified in these Terms or required by law.

3.2Payment

Payments must be made through the payment methods specified by Felina.

You agree to pay all fees and applicable taxes related to your membership

and participation in any events. By providing a card on file, you authorize us to

charge your card for monthly fees as well as any additional charges incurred,

such as tabs from events or services.

4. Community Conduct and Responsibilities

4.1Code of Conduct

As a member, you agree to follow the Social’s Code of Conduct, which

includes:

Respect: Treat all members with respect and dignity.

No Harassment: No harassment, discrimination, or hate speech.

Supportive Environment: Foster a positive and encouraging atmosphere.

Professionalism: Maintain professionalism in your interactions with

other members, including on social media.

Reporting Violations: Report any violations of the Code of Conduct to

Social management.

4.2Event Participation

Members must behave respectfully and in accordance with the Code of

Conduct at all Social events, both in-person and virtual. Felina reserves the

right to remove any member from an event or revoke membership for

violations.

4.3Content Sharing

By sharing content within the Social or on platforms like Instagram and

TikTok, you grant Felina a non-exclusive, royalty-free, worldwide license to

use, reproduce, and display such content. You confirm that you own the rights

to the content and that it does not violate third-party rights or laws.

5. Privacy and Confidentiality

5.1Privacy Policy

We are committed to protecting your personal information. By joining the

Social, you agree to our collection, use, and disclosure of your personal

information as outlined in our Privacy Policy.

5.2Confidentiality

You agree that any confidential or proprietary information related to Felina,

the Social, or other members that you may become aware of during your

membership shall be kept strictly confidential. You will not disclose, share, or

use such confidential information for any purpose other than your

participation in the Social, unless required by law.

6. On-Premises Activity and Liability Waiver

By participating in any event or activity at Flatiron Social or any associated

premises, you acknowledge and accept that there are inherent risks involved.

To

the fullest extent permitted by law, you waive any claims against Felina, its

affiliates, and their respective officers, directors, employees, and agents for any

injury, loss, or damages resulting from your participation in any on-premise

activity. Your participation is entirely at your own risk.

7. Event Terms

7.1Event Registration

Events hosted by the Social may require separate registration. Event fees, if

applicable, will be specified at the time of registration. Participation is subject

to these Terms and any additional terms provided during registration.

7.2Refunds

Refund policies for events will be provided at the time of registration.

Requests for refunds will be considered on a case-by-case basis at the

discretion of Felina.

7.3Event Modifications, Reschedule, or cancelations

The Social reserves the right to modify, reschedule, or cancel events at any

time. In the event of a cancellation, you will be notified within a reasonable

amount of time and provided with options for rescheduling or receiving a

refund, if applicable.

8. Account Freezing Policy

Members can freeze their accounts for full-price memberships only. Requests

must be submitted in advance, prior to the start of the month for the following

month.

Freezing is limited to a maximum of 2 months and is available for extended

travel or medical reasons. For medical freezes, a doctor’s note is required.

Members cannot request a freeze retroactively after attending events.

9. Intellectual Property

All content and materials provided by the Social, including logos, text, and

graphics, are the intellectual property of Felina or its licensors. You agree not to

reproduce, distribute, or create derivative works from any content provided by

Felina without explicit permission.

10. Limitation of Liability

To the fullest extent permitted by law, Felina shall not be liable for any direct,

indirect, incidental, special, or consequential damages arising out of or related to

your use of the Services or participation in any events, including on-premises

activities.

11.Dispute Resolution and Arbitration

Any disputes arising out of or relating to these Terms or the Services will be

resolved exclusively through binding arbitration administered by JAMS in

accordance with its rules, including its Expedited Procedures. Arbitration will take

place in New York, and New York law will govern the proceedings. You agree to

waive any right to a trial by jury or to participate in any class action.

12.Changes to the Terms

Felina reserves the right to modify these Terms at any time. Any changes will

take effect immediately upon posting of the modified Terms. An email courtesy

notification or alert will be provided when Terms are updated. Continued use of

the Services constitutes your acceptance of the modified Terms.

13.Governing Law

These Terms, and any disputes arising out of or related to these Terms, shall be

governed by the laws of the State of New York, without regard to conflict of law

principles.
